She believes it is worth exploring whether different types of securities could be tested for tokenization under this framework, and whether issuers must consent to third parties issuing tokenized versions of their shares, in order to promote technological innovation while avoiding regulatory arbitrage. The SEC is evaluating several issues, including the scope of information disclosure requirements, the compatibility of settlement rules for tokenized securities, and the applicability of regulatory authority in a structure without intermediaries.
